Clear Terms, Fair Partnership

By accessing or using ScribeArc (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days prior to taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

ScribeArc provides an AI-powered document processing platform that includes intelligent data extraction, financial workflow automation, predictive analytics, and document management capabilities ("Platform").

The Platform is provided "as-is" during the beta period. While we strive for maximum uptime and accuracy, we do not guarantee uninterrupted access or 100% extraction accuracy during this phase. Accuracy targets and benchmarks will be published before general availability.

We continuously improve our AI models and may update features, interfaces, and functionalities. We will provide reasonable notice for changes that materially affect your workflow.

You must provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access due to your failure to safeguard your credentials.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service.

You retain all ownership rights to the documents and data you upload to ScribeArc ("Your Content"). We do not claim any ownership interest in Your Content.

You grant us a limited, non-exclusive license to process, store, and analyze Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

We do not use Your Content to train our base AI models. Your financial documents are processed in isolated tenant environments and are never shared with other users or third parties except as outlined in our Privacy Policy.

You are responsible for ensuring that you have the legal right to upload and process all documents submitted to the Service.

During the private beta period, access to ScribeArc is provided free of charge to approved waitlist participants. Future pricing will be communicated before the general availability launch.

When paid plans are introduced, fees will be billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to modify pricing with at least 60 days' advance notice. Price changes will not affect your current billing cycle.

You agree not to use the Service to: (a) violate any applicable laws or regulations; (b) upload malicious content, viruses, or harmful code; (c) attempt to gain unauthorized access to our systems or other users' accounts; (d) reverse-engineer, decompile, or disassemble any part of the Service.

You may not use the Service for processing documents that contain content illegal under your jurisdiction, or for any purpose that facilitates fraud, money laundering, or other financial crimes.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

To the maximum extent permitted by applicable law, ScribeArc and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you to ScribeArc in the twelve (12) months preceding the claim.

The limitations in this section apply regardless of the legal theory on which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted in English, seated in New Delhi, India. The arbitrator's decision shall be final and binding.

For customers contracting with our future US entity, disputes will be governed by the laws of the State of Delaware. This option will be available once our US entity is established.

You may terminate your account at any time through your account settings or by contacting us. Upon termination, we initiate a 30-day grace period during which you can download your data and reverse the deletion.

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
